The term of Whloe time director of a listed company is getting over on 02.08.2013, the Compnay does't want to re-appoint him.What formality do we need to do with ROC?

First of all the period is not defined for WTD. A director will be treated as whole time director who is appointed for life time.
If you have appointed for limited purpose and does not want to extend their tenure file Form-32 of resignation of WTD or you have option to convert them in to director and File Form-32 for change in position from WTD to director.
