company registered in 2009 with 2 directors. now they have to add another new director. which form is applicable for this.

Form-32 is required to be filed with ROC with in 30 days from the date of appointment. If you want to appoint new director in Board I will suggest you to appoint him as Additional Director.

Procedure for Appointment of Additional Directors.

1. Take consent of director and DIN/disclosure of interest
2. Call a Board Meeting for proposal of appointment of director
3. Hold a Board Meeting and appoint him as additional director.
4. File Form-32, with ROC, with in 30 days from the date of appointment.
5. Attach consent letter with Form-32, in case of public limited company.
6. Take entry in Minutes.

11 September 2013 If your managment decide then you can appoint him on back date.

Other wise you can appoint him now.

In any case Form-32 is required for appointment of director.
