10 November 2017 Respected Sir, What is the procedure for appointment of a Company Secretary in a Listed Company?

13 November 2017 1. Receive a consent from CS to act as KMP
2. Inform Stock Exchange about board meeting where proposal to appoint CS as KMP is to be considered
3. Pass Board resolution for appointment of CS & Compliance officer
4. Inform the Stock exchange about appointment
5. File MGT-14 & DIR-12 within 30 days of passing Board resolution
6. File MR-1 within 60 days of passing Board Resolution.
7. Make necessary entries in register of KMP.

13 November 2017 Thanks sir , could you please tell that Listed company whose paid up capital is below 10 crore . Is mandatory to appoint the company secretary ? Thanks in Advance .

13 November 2017 YES IT IS MANDATORY. Criteria of Rs. 10 Cr as you have mentioned is for unlisted public company.
