12 February 2011 please tell me what are the proceedures for transfer of pvt company shres ? is any form shoud be filed ?

12 February 2011 Get the Share transfer form from ur concerned ROC signed it both from Transferor & Transferee.

14 February 2011 Procedure is as under -

1) Obtain share transfer form and present it to the Registrar who shall endore thereon the date of presentation. The transfer shall be effected within 2 months from the date of such presentation.

2) Execute the share transfer deed i.e. the deed should bear the signature of both the transferor and the transferee.

3) Send the Share transfer deed to the company alongwith original share certificate or letter of allotment.

4) Make necessry entries in the Register of Members and issue share certificate in the name of the transferee.

5) Form 2 is required to be filed only for fresh share allotments. For share transfer Form 2 is not required.

14 February 2011 Form No. 7B is required as per sec 108(1A)1 of the Companies Act, 1956 and to be signed by both the transferror and tranferee.

For giving approval of transfer u also need to hold a Board Meeting and that date will also be shown in the Form.

Since there is no fresh allotment by the Company, so Form 2, is not required to be filed by the Company.
