I registered for DIN of one of my client ,which showed as failed on MCA site. I again applied for Din and formed a private limited with that DIn. Next day I was surprised to see two Din emails as approved from MCA. My Question is do I need to Surrender the First DIN?? If yes as per process I read from Ca Club earlier post I have filled DIR-5 , I require proforma for Affidavit & Board Resolution please provide.. DO I require Board Resoluton,since I have not used that First DIN and Company doesnt have any link with that DIN??

Here’s a concise answer and guidance for your **DIN surrender query**:
---
### 1. **Do you need to surrender the first DIN?**
* **Yes, ideally you should surrender the first DIN** because MCA records two active DINs against one person, which is not allowed. * Even if the first DIN was never used or linked to any company, it’s best practice to surrender it to avoid future compliance issues.
---
### 2. **Is Board Resolution required if the first DIN is not linked to any company?**
* If the DIN is **not linked to any company** and was never used for any appointment, then **Board Resolution is generally NOT required** for surrendering that DIN. * However, an **affidavit** by the DIN holder stating the reason for surrender (i.e., duplicate DIN issued due to system error, never used etc.) is required.
---
### 3. **Documents typically required for surrendering a DIN:**
* **Application in form DIR-5** (Surrender of DIN). * **Affidavit on non-judicial stamp paper** explaining the reason for surrender. * If the DIN was linked to a company, a **Board Resolution authorizing the surrender** is mandatory; but in your case, it's not linked, so affidavit alone should suffice.
---
### 4. **Proforma (sample) for Affidavit and Board Resolution:**
* **Affidavit sample:**
``` AFFIDAVIT FOR SURRENDER OF DIN
I, [Full Name], son/daughter of [Father's Name], residing at [Address], do hereby solemnly affirm and declare as under:
1. That I was allotted DIN No. [First DIN Number] which was never used for appointment in any company. 2. That subsequently, I was allotted DIN No. [Second DIN Number] which is now being used for all my director appointments. 3. That I am surrendering the first DIN as it is a duplicate and not in use. 4. That there is no pending litigation or inquiry involving me under the said DIN. 5. That the above statement is true to my knowledge and belief.
Date: Place: Signature: [DIN Holder's Name] ```
* **Board Resolution sample** (only if required):
``` RESOLVED THAT pursuant to the provisions of the Companies Act, 2013 and rules made thereunder, the consent of the Board be and is hereby accorded for surrender of DIN No. [DIN Number] allotted to Mr./Ms. [Name], which is no longer in use.
FURTHER RESOLVED THAT Mr./Ms. [Authorized Person], Director/Company Secretary of the company, be and is hereby authorized to file Form DIR-5 with the Registrar of Companies for surrender of the said DIN.
* File **DIR-5** with affidavit. * No Board Resolution needed if no company linked to first DIN. * Send affidavit and DIR-5 to MCA as per prescribed mode.
