02 July 2009 Can a partnership firm become a subscriber to the MOA & AOA of a private limited company as per The Companies Act,1956.

02 July 2009 Hello warrier sir,

A partnership firm can not become a subscriber to the MOA & AOA of a private limited company as per The Companies Act,1956.

A partnership firm is not a legal person and it does not have ant separate entity, therefore it can not be a subscriber to MOA. However it may be a member of a company licenced u/s 25 of the Companies Act, 1956.

Please refer DCA Circular No. 4/72, dated 9-3-1972.
