As per Section 193 of the Companies Act Minutes of the Board Meeting by the Chairman of the Same Meeting or the Next Meeting and in case of General Meeting (AGM or EOGM) are to be signed only by the Chairman of the same Meeting within stipulated time.
And resolutions passed therein are valid and need not be signed by all the directors.

After holding BM and passing the resolution one should enter the same in board minutes. After preparing board minutes and their signing a director can certify the copy of board resolution.
