25 January 2010 can private limited company have a share transfer committee for approval of share transfer and what kind of resolution is required for the same.

what is the format for board resolution for taking note of the approval of transfer of shares by share transfer committee.

25 January 2010 YES a private limited company may have a share transfer committee for approval of share transfer and a resolution with simple majority would be enough.

25 January 2010 FIND BELOW THE RESOLUTION TO APPROVE THE TRANSFER OF SHARES

The Secretary placed before the Committee, the Share Transfer Register maintained by the company. After due discussion it was:

RESOLVED THAT the transfer of Equity Shares of Rs. 2 each, fully paid, as per the entries in the Share Transfer Register under transfer No. 2145 to 2146 (both including) covering 3400 No. of Equity Shares of the company be and is hereby approved and taken on record.
