Whether for conversion of debentures into equity shares procedure of section 62 will be applicable or rule 13 need to be followed , pl. reply me in detail

read section 62 (3) of the Act. there is no prescribed rules for this.
You can convert in to equity shares provided you had earlier passed special resolution in this respect.
