This query is : Resolved

19 July 2013 I want to know that as per section 286 of Companies Act 1956 whether notice has to be sent to Director in abroad in his original address in India and also at the address outside India? Also state whether notice for meeting is required to sent to alternate director?

20 July 2013 Hi

Section 286 of the Companies Act, stipulates that a meeting of the Board of directors shall be held after giving notice. The notice shall be given in writing to every director in India and at his usual address in India. Notice shall be given reasonably in advance at least seven days before the meeting.
Although it is not incumbent to give notice to a foreign director at the address outside India. However, sound corporate practice requires that notice to be sent to all directors, whether in India or outside.

The section 286 is talking about director, it means all director, whether it is MD or alternate or any director.
