can anyone give brief description of section 24AA??? whether it is compolsory to be prepared???

PLEASE CLARIFY YOUR QUESTION. ARE YOU ASKING ABOUT FORM 24AA(DISCLOSURE OF INTEREST BY DIRECTORS PURSUANT TO SECTION 299).

Form 24AA is used for disclosure of interest by director as desired by section 299.
This form is not required to be submitted with ROC.
In this form a director can make all general disclosure where he must be considered interested to the board of directors. This form is for internal purpose of the company is submit by a director to the board members.
