WHAT PROCEDURE IS FOLLOW IF THERE IS NO PROVISION IN AOA & TABLE A FOR APPOINTMENT OF ALTERNATE DIRECTOR.

Section 313 gives a right to the company to provide in its articles of association for the appointment of an alternate director. The section also says that in the absence of such provision in the articles , an oridinary resolution can be passed by the members in a general meeting to give that right to the Board.

If No provision in AOA then company may pass an Ordinary Resolution and give power to Board to appoint Alternate Director!!!!
