whether for counting 2/3 of total director for the purpose of sec: 255(1)director appointed u/s 408 (by CG) will be counted or not ?

As per section 408 central government is authorized to appoint Director in a company, the director such appointed are not counted for sec 255(1)and not subject to retire, they are appointed for 3 years subject to removed by the central government.

My another question is whether for counting of total strength u/s 255 director appointed u/s 408 shall be counted. If not why?
(as like addl director u/s 260 is not counted for total strength as sec260 overrides 255)

Appointment done by the Central Government is not counted and it can be removed only by the central government.
