24 February 2011 Kindly advise on the following issue.

Date of Incorporation :06/10/2009.

1st year of B/S date : 31/03/2010.

1st AGM date: 21/02/2011.

Date of signing Audit Report: 03/02/2011.

24 February 2011 Since the first year Balance Sheet is closed on 31/03/2010, as per Section 210, the first AGM should have been held on or before 31st December 2010 and the audit report for the period ended 31/03/2010 should have been signed before notice of AGM is issued by the Company.

However the Company had the option of closing its first year accounts on 31/03/2011 in which case the first AGM could be held on or before 05/04/2011, as per Section 166.

25 February 2011 Agreed with the Expert that since the accounts for the first financial year of the Company i.e. from 06/10/2009 to 31/03/2010, the first AGM of he Company should have been held on or before 31/12/2010 and the Audit Report should be signed by the Auditors before the date of issue of AGM.
