25 November 2011 IS FORM 66 REQUIRED TO BE FILED WITH MCA FOR BY A PRIVATE LTD CO. IF IT HAS A PAID UP CAPITAL ABOVE 1000000 ? IF YES

IS THEIR ANY WAY BY WHICH FORM 23AC CAN BE FILED WITHOUT SRN NUMBER OF FORM 66?

IS IT COMPULSARY TO OBTAIN COMPLIANCE CERTIFICATE FROM A COMPANY SECRETARY BY A PRIVATE COMPANY?

CAN WE FILE THE FORMS WITHOUT FILING FORM 66 ? IF YES HOW ?

25 November 2011 If paid up capital is above 10 lakhs and below 5 crore you have to file form 66.

SRN of form 66 is must to finalise form 23AC. There is no escape from this.

Compliance certificate is to be provided by an independent CS in practice.

25 November 2011 Please find below exact rule for filing compliancec certificate:

Amended & Applicable Provision from 15th March 2009:

Get Mandatory Compliance Certificate:

if your share capital is between 10 lakhs & 2 crores;
if your share capital is between 2 crores & 5 crores and you have not appointed whole time company secretary.

Mandatorily appoint a Whole Time Company Secretary:

if your share capital is between 2 crores & 5 crores and you have not got the Compliance Certificate;
if your share capital is above 5 crores.

And, NO special provisions for Companies having its registered office in a place with a population of less than one lakh as per 2001 census.

25 November 2011 1. Yes pvt. Ltd. co. required to file the
form 66.

2. No it is not possible to file form 23Ac
without SRN No. as per my knowledge.

3. Yes it is compulsary to obtain compliance certificate from CS by a pvt. co. if Co. authorised share capital is more than Rs. 10,00,000

4. You can file form without form 66 but it will be invalid.
