Changing your company's registered address with the ROC is possible even if annual filings are overdue for two years. However, failing to file can lead to the company being classified as 'inactive', potentially freezing bank accounts and even resulting in the company being struck off the MCA records. It's advisable to regularise outstanding compliances before proceeding with the address change.

Please check the current status of the company. In case the Company has not filed its Annual Return for the last two financial years continuously, then such companies would be termed as an “inactive company”. On such a classification, the bank account of the company could be frozen. Further, the Registrar could also issue a notice to the Company and initiate strike-off of the company from the MCA records. We need to regularise these compliances before applying for address change most probably I guess.
