I have a query, regarding having corporate office by a company.

1. what is meaning of a corporate office?

2. whether a PVT LTD co. is required to pass any resolution to make a corporate office?

3. whether co. is required to intimate to ROC about its corporate office?

4. whether Service Tax & TAN Registration can be obtained on corporate office?

1. What is the meaning of a corporate office?
Corporate Office generally means the main office or head office from where the key management and administrative functions of the company are carried out.

It is the official address for communication and where the company’s board meetings, key decisions, and corporate activities are handled.

2. Is a Private Limited Company required to pass any resolution to have a corporate office?
Yes, if the company is shifting or declaring a new registered office or corporate office, a Board Resolution or Shareholders’ Resolution (depending on the change) should be passed.

For example, if the registered office address is changing, the company needs to pass a Board resolution to approve the change and subsequently file Form INC-22 with ROC.

If it is just declaring a "corporate office" different from registered office but not changing registered office, a Board Resolution suffices to authorize the use of that address as the corporate office.

3. Is the company required to intimate ROC about its corporate office?
If the corporate office is the registered office or there is a change in the registered office address, then yes, the company must inform the ROC by filing Form INC-22 within 30 days of such change.

However, if the corporate office is a different office but not the registered office, there is no requirement to intimate ROC about it specifically.
