31 May 2013 Sir,
Is it necessary for private ltd. companies to intimate ROC for every resolution passed at the board meeting or some specific resolutions only. What is the form in ehich to intimate and what is the fees for the same?
Moreover if the company has not intimated to ROC about any of its resolution what are the consequences although we have obtained the compliance report from C.S. and given him the details of resolutions passed at the board meeting.

03 June 2013 Refer section 192 of the Companies Act, 1956. It mentions certian resolutions & agreements that are required to be filed with the ROC.

It is not necessary that all resolution will be submitted with ROC. Only that resolution is required to be submitted withich are required to be submitted as per their respective section under the Companies Act, 1956.

The concern form of ROC already demand that the resolution is required or not. So before filing any forms with ROC please check what attachments is demanded by that form.
