1. Can a director resign in general meeting.
2. In case when director resigns in Board meeting, the date of Board meeting should be after or before the resignation letter.Can Board meeting be held before resignation mentioning a later date in which the resignation shall be effective.
3. When we file Form 32 for more than 1 director, in which the dates of resignation is not same for all, then in that case fees will be calculated from which date.

1. Kindly appreciate for resignation no meeting is required. If he is an ordinary director he may send his resignation letter by post. You have to simply note his resignation in the next BM.
2. His resignation shall be effective from the date mentioned in the resignation letter. And for this resignation no acceptance from board is required.
3. If date of resignation is not same then you can not file single form 32.
Fees will be calculated from the resignation date mentioned in the letter bcoz that is the relieving date.

Find below the resolution for Taking note of Resignation of Director:
“RESOLVED THAT the resignation of Ms. Pallavi S. Shroff, Director of the Company, be and is hereby accepted with effect from the 26th day of the June, 2008 and that the Secretary of the Company be and is hereby instructed to make appropriate noting in the Register of Directors accordingly and file Form No. 32 with the Registrar of Companies.”
