how to resign a director in pvt ltd company under companies act 2013?

1. The director has to e-file form DIR-11, digitally signed, attaching therewith -
a) his/her resignation letter
b) proof of dispatch of the above letter to the company and
c) acknowledgement received from the company.
2. The company in turn has to file e-form DIR-12, digitally signed by the authorized person, attaching therewith-
a) notice of resignation (resignation letter) and
b) evidence of cessation (board resolution).

thanks Ankur Ji but What do i need to do for proof of dispatch of notice....can i attach resignation letter of director for that & first do we need file DIR 11 or DIR 12...

You can convert the resignation letter into proof of dispatch. Simply put receiving on the resignation letter and get it signed by a responsible officer of the Company.
Formal dispatch proof is not at all required in case of personal delivery.
