ABC Hospital Limited appoint a Medical Director & Full time Consultant, whether company needs to follow the procedure of appointment of director like sec.256 and other applicable provisions and procedure of ROC.

If you introduce him as a member of Board of Director, then it id required to follow Companies Act, 1956 otherwise not.
You can appoint him as Medical Director as a designation.
