05 August 2010 I have opened a Pvt Ltd Company. I want to know.
1. What is the remuneration payable to directors?The remuneration will be treated as his salary or like consultation fees.
and Is Interest to paid on the capital invested by directors.

2. What is the remuneration payable to CEO? The remuneration will be treated as his salary or like consultation fees.

Kindly appreciate strict provisions related to managerial remuneration are not applicable to a private company. So you are free to give any remuneration to your management.

Also check your articles regarding remuneration.

05 August 2010 Agreed, private limited companies are exempt from restrictions of S.309 of the Companies Act.

Salary paid to directors is shown as Directors Remuneration, as a separate line in the P&L A/c.

Directors can not be paid interest on equity capital, which get them divideend.

CEO remuneration is salary or consultation, depends on facts of the case. However generally it is treated as salary only.
