19 September 2025 IF A COMPANY IS INCORPORATED ON 28TH MARCH 2025. SO WHETHER IT IS REQUIRED TO FULFIL STATUTORY AUDIT REQUIREMENT ALONG WITH FILLING OF AOC-4 AND MGT-7A FORMS FOR THE F.Y 2024-25

19 September 2025 A company incorporated on 28th March 2025 is generally not required to fulfill the statutory audit requirement or file AOC-4 and MGT-7A for FY 2024-25; instead, its first financial year extends up to 31st March 2026 as per Section 2(41) of the Companies Act, 2013 for companies incorporated after January 1st.

19 September 2025 Applicability of Audit & ROC Filings

The Companies Act, 2013 states that for companies incorporated after January 1st, the first financial year ends on March 31st of the following year.

Therefore, a company incorporated on 28th March 2025 will have its first financial year from 28th March 2025 to 31st March 2026.

Statutory audit and annual ROC filings (AOC-4 and MGT-7A) will be required only after the end of this extended financial year, not for the short period till 31st March 2025.

19 September 2025 The company must appoint its first auditor within 30 days of incorporation.

The statutory audit, AOC-4, and MGT-7A/MGT-7 filings will be based on the first set of financial statements covering up to 31st March 2026.

ROC forms for FY 2025-26 will be due after the company’s first AGM, which should be held within 9 months from the close of the first financial year.

A company incorporated on 28th March 2025 will complete its statutory audit and ROC annual filings (AOC-4 and MGT-7A) for the extended first financial year ending 31st March 2026, and not for the short FY 2024-25 period.

19 September 2025 No approval needed for FY extension: Indian companies automatically get the extended first financial year to the next 31st March if incorporated after 1st January.

Income tax return is mandatory for FY 2024–25: Every newly incorporated company must file a return for the short period, even if there is no activity, and penalties apply for non-filing.

Company law returns/Audit: For ROC, audit and AOC-4/MGT-7A filings will only be required after the completion of the extended financial year.

Only subsidiaries/holding companies of foreign companies may need Tribunal approval if aligning with an overseas consolidation, not purely Indian entities.

Form ADT-1 must be filed after every subsequent appointment or reappointment of an auditor at the AGM—including after the first AGM—even if the initial ADT-1 (for the first auditor) was filed late with fees. ADT-1 is a mandatory annual compliance after every AGM where the auditor is appointed or reappointed, and must be filed with the Registrar of Companies within 15 days of the AGM date.

ADT-1 Filing Requirement
The first ADT-1 informs the ROC of the initial appointment of the auditor by the Board, but is valid only until the first AGM.

After the first AGM (held on 28/08/2025 in your scenario), the company must file ADT-1 again for the reappointment or appointment of the auditor, within 15 days of the AGM.

This obligation applies whether the auditor remains the same (reappointment) or is changed, and continues for every AGM thereafter.

19 September 2025 Filing of ADT-1 after each AGM ensures compliance with Section 139(1) of the Companies Act, 2013.

Even if the initial ADT-1 was late filed, subsequent ADT-1s are independent and must be timely for each AGM auditor appointment or reappointment.

Non-filing can attract penalties and affect ROC records.

In summary, ADT-1 is always required to be filed within 15 days of each AGM after an auditor is appointed or reappointed, regardless of prior late filing for the first auditor.
