If net profit of company as per schedule VI is less then book profit as per 115JB then form 29B is required to file?

Yes, Form 29B is required to be filed if the company’s net profit as per Schedule VI (now Schedule III) of the Companies Act is less than its book profit computed under section 115JB of the Income Tax Act. Consequently, Form 29B becomes mandatory to certify that the company’s “book profits” are correctly calculated under section 115JB.
