Quorum of meeting

14 March 2014 There is a private ltd co. which has 3 directors.
One of the director is about to resign.
My questions are:

1. Will the resigning director be given notice to attend meeting?

2. Will he be counted to form a part of the quorum?

3. What will be the language of the Item: "Leave of Absence" in the board minutes.

14 March 2014 A resolution must b passed in the Board Meeting, about the resignation of the Director, & it must also b mentioned in the Minutes of the Meeting.

Yes the Director must b given Notice of the Meeting.
Yes he will b counted as part of quorum in that meeting.

The language should be:-

The Chairman then read the resignation letter received from ............... and after necessary discussion the following resolution was passed:-
“RESOLVED THAT the resignation of the Director ................. from the Board of Directors be and is hereby accepted.”
