I have a query about quoram of Board meeting by circulation. in my case there is a co. with 2 directors only and 1 director is in U.S. and co. want to pass a resolution by circulation. is it possible or not?

The number of directors who are in India at the time of circulation of the resolution must not be less than that required to constitute a quorum at a meeting of the Board u/s 287.
