Pulling out a director who is not having a DIN

22 September 2007 Dear Sir,

We need to pull out a director from the board of one of our portfolio companies.

He was inducted on the board of the Company some where in 2001 & now we don't have any idea regarding his whereabouts.

He is not traceable at all & he don't even have a confrimed DIN.

Can you please suggest some other alternative by which we cah pull him out of the Company.

As we need to withdraw his directorship on a priority basis, an early response from your side will be highly appreciated.

22 September 2007 But I think the board can pull him out of the Company even without tracing him, why you want to trace him?

01 October 2007 A director will vacate the office of directorship if he fails to attend three consecutive Board Meeting without obtaining leave of absence. However, you should prove that you have sent Notice of Board Meeting to the Director.

For filing of Form 32 for vacation of office, you need DIN. However, there is an alternate procedure for filing form 32 without obtaining permanent DIN and thouse are not written on the website and you need to find it yourself.

01 October 2007 You cannot fill Form 32 without having DIN fo the Director. MCA is also not having any solution on for it. Only in case of death of Director it is possible to file the form by prodicing death certificate.
