* Can a proxy be counted in quorum?

* No ,since members personal presence is required by section 174.
Unless the articles of the Company provide for a larger number, Five members PERSONALLY PRESENT in the case of public company and two members PERSONALLY PRESENT in case of any other company shall be the quorum for a meeting of the Company.
Proxy shall be counted for vote purpose only and not for the quorum purpose.
