27 February 2018 Yes you can allot the shares through private placement who is neither director or shareholder. Valuation report by CA is required for issue of shares at FV. You have to file PAS-4 & PAS-5 attached with Form GNL2.

27 February 2018 Thank you again for your reply , one more question can we file PAS-4 and PAS-5 with addiitional fees as the Company was not aware of filing of the same with ROC within 30 days.
