dear sir,
one of client having a private limited company , they want to open a branch in USA, i want to know the legal provisions and procedure to be followed. Please let me know the procedure.

As far as Indian Company Law compliance is concerned just to pass a Board Resolution for opening a branch office and authorizing someone for signing from the branch on the behalf of the Company.
Other compliances of the foreign company will also have to be done.
