15 February 2012 Please Provide me a draft of Resolution for converting Partly Paid Up shares to fully paid up. Is there any requirement for filing Form-2 as we have already filed it at the time of allotment with amount remaining to be paid on each share as Calls In Arrears.

There is no need to file Form-2 again for the conversion of partly paid shares in to fully paid.

01 March 2012 RESOLVED THAT pursuant to provisions of section 292 of Companies Act 1956 or/and other applicable provisions for the time being in force, 5000 Equity shares bearing distinct numbers from 5001 to 10000 of face value of Rs. 10, having been paid Rs. 5 per share on Application and Allotment, remaining Rs. 5 per share be and hereby called as First and Final call from the share holders.owning such shares.

FURTHER RESOLVED THAT Mr. A, Director/Secretary of company be and hereby authorised to make necessary entries in the Statutory Registers.
