Meetings of Board of directors

27 August 2007 Hi,
I have following queries:
1) Where can a board meeting be held ? Whether at the registered office or elsewhere as well.
2) A director may not be present in India during the whole year. What should be the practice followed in such a case vis-a- vis the board meetings.

27 August 2007 it is not compulsory that Board meeting should be held in the register office , if a director absent himself in 3 consecutive board meeying , then automatic vacation provision arises .pl check relevant section.

03 October 2007 Director will vacate office in case he not attended three consecutive Board Meeting without obtaining leave of absence. You can show leave of absence to such director and remaining directors can hold board meeting. In case there are two directors in foreign country, they can hold Board Meeting in foreign country itself.

The other option is, an alternate director may be appointed and such director will hold office only up to the date of return of the original director.
