25 January 2010 If Mr. A subscribes share in ABC Pvt Ltd as a Nominee of XYZ Pvt Ltd then in whose name the share certificates should be issued.

What will be the situation if Mr. A subscribes on behalf of XYZ Pvt Ltd.

Mr. A (Nominee of XYZ Private Limited).

27 January 2010 Is there any other formalities to be complied with, i.e, any form to be filed with registrar...

Also who shall be treated as member of the company Mr. A or XYZ pvt Ltd.

I want to make ABC as a wholly owned subsidiary of XYZ.

Please help..

27 January 2010 In shareholding pattern always use ==

Mr. A (Nominee of XYZ Private Limited)

Nothing is required to be filed with roc except form-2 for allotment to Mr. A (Nominee of XYZ Private Limited).
