18 October 2007 A co has not diled its annual returns for the last 3 years.

Now when i wish to file returns for those years,with the dig sign of the Director,the form is not uploading and giving an error message that

" the signature is not valid and that hte person is not authorised to sign on this doument.

what has to be done
1.are the direcotrs defunct
2.what has to be the steps to reviver them back
3.Do they need to be re-apppt
4.And then how to file Form 23AC and Annual Return???

18 October 2007 no the directors in this case become disqualified u/s 274(1)g and hence their dig sig will become invalid. these cannot be reappointed

18 October 2007 Just to add on,
olso find out whether the company has filed the Din3 form. if not that is the reason why it says the person is not authorised.
only when the co does file the din3 the dig sig of the directors get recognised with the co.

18 October 2007 If it is public company disqualification directors will attract sec 274(1)(g). e-filing is started from 05-06 FY. Better you consult RoC with TCS people regarding this issues. First you upload the current FY annual returns. FY 05-06 also will accept before that you have to pay penalty for non fililing of return. If you pay fine that slip nummber also you have to verify. Please ensure DSC which has been roll checked properly. Ensure DIN 1, DIN2 and DIN 3 for the respective Directors. Before that FY 05-06 you please ensure RoC regarding those issue. Pl let me also know after rectifying those issues. Thanks.
