20 April 2011 Can the Board declare interim dividend in a meeting through teleconferencing?

20 April 2011 In my opinion...a Board Meeting held through Teleconferenecing is not a valid meeting.....

Board Meeting may be held through Video Conferencing and the business transacted thereat is valid in all respects.

20 April 2011 Board meeting conducted through teleconferencing or video conferencing is not yet recognised under the Companies Act, 1956.

So conducting of physical meeting is required. However subject to minimum quorum present, other directors can participate through tele or video conferencing.

Passing of circular resolution is another alternative for passing of resolutions without convening physical meeting under Section 289 of the Companies Act, 1956. However please note that certain matters need to be passed only in the meetings of Board viz., items specified in Section 292, etc.
