Pls suggest good solution:

Present Share holding pattern of ABC Ltd.
Mr. A 100 Shares
Mr. B 1500 Shares
Mr. C 1000 Shares
xyz Ltd 200 Shares
PQR Ltd 700 Shares

We want to increase share capital in such a way that share holding of A & B reach to 95% of total capital.
Can we straight away issue shares to A & B without issuing to other or there is other way to do so.

16 November 2011 If other share holders agree then do as you wish. Raise the capital and allot to them.

But how we can say that they are agree , we have to follow certain procedure to show this. PLEASE suggest me the procedure for that.

I am not clear pls. explain me in depth.

17 November 2011 By a board resolution. Mention in that the other share holders agreed to allot to them. If its mutually concered no need of this wordings also. Just you can allot to them.
