23 March 2009 A private Limited company with Rs.10,00,000/- Authorised share capital want to increase authorized capital. What is procedure to be followed by a company.

23 March 2009 PASS A SPECIAL RESOLUTION FOR CHANGE IN MEMORANDUM FOR INCREASE IN AUTHORISED CAPITAL.
FILE FORM NO.23 WITH ROC.
PAY ROC FEES FOR INCREASING AUTHORISED CAPITAL. ie TOTAL FEES FOR INCREASED AUTH.CAP - FEES ON AUTH.CAP ALREADY PAID FOR RS.10 LAKHS.
CHANGE CAPITAL CLAUSE IN MEMORANDUM AND SUBMIT A COPY WITH ROC.

23 March 2009 1) Board resolution to convene EGM to increase share capital of the company.
2) Ordinary resolution authorising the increase in authorised share capital should be passed in the EGM.
3)e-Form 23 along with explanatory statement u/s 173(2) should be filed within 30 days from the date of passing the resolution.
4)e-Form 5 should be filed along with altered MOA and AOA.
