I want to increase my company's share capital from 2 lacs to 15 lacs. Another Director to be introduced and shares to be distributed among 3 Directors as we desire. Please let me know what is the total expenditure to do this with ROC.

Hi
For Increasing Capital Expenditure from 2lac to 15 lac the total cast will be:
1. Registration Fee payable to ROC for Form-5 is Rs. 29000/-
2. In case of Delhi stamping will be NIL, in other state the details are given in Form-5.
3. Form-32 for appointment of Director Normal fee will be Rs. 500/-
4. For allotment of shares to Directors Filing fee for Form 2 will be Rs. 500/-
Total expenditure will be Rs. 30000/- as ROC expenses other than professional charges.

I would like to add that if the increase in authoreised capital result in Alteration of AOA,then Form 23 ha to be file the fees of which is Rs. 500.
