22 February 2014 Dear Experts,

is there any change in procedures to Incorporate a Private Limited Company as per new companies act? Is there any change in documents and format of MOA & AOA and last page of the same, as per new companies act ?

22 February 2014 1. Name of both acts to be mentioned in the head line.

2. Section 2(68) of 2013 act has to be replaced for section 3(1)(iii) of 1956 act in the AOA.

3. No change in last page (subscribers sheet).

22 February 2014 Under the Companies Act, 2013, the major changes are as follows:-
1. Section 2(68) – The limit on maximum number of members has been increased from 50 to 200;
2. Section 4(c) – The objects clause is not required to be divided into main, incidental and other object. The requirement is to give objects for which the company is proposed to be incorporated and any matter considered necessary in furtherance thereof. This section is not yet notified
3. Section 5(3) – The articles may contain provisions on entrenchment. This section is not yet notified.
