Format for memorandum of understanding

An investor would like to provide fund to the company & in return he want 25% of profit. However, the investor will not bear loss. Kindly advice how to make memorandum of understanding keeping in mind of companies act,2013.
If any other documents required to make in place of MOU or in supporting with MOU, kindly advice us.

There is no any specific DRAFT as such. It may be prepared generally so as to mean as general company and NOT investment company.
