21 December 2009 A special resolution was passed and a new director was appointed and one existing director resigned.
Form 23 was promptly filed. Whats the last date for filing Form 32.
Is there a rule as filing form 32 one month from the date of filing form 23 or something?

21 December 2009 form 32 should be filed with ROC with 30 days of appointment and resignation of director. so in your case you have to file two form 32, one for appointment and another for cessation of diretorship.

Refer section 303(2) for understanding the connection of form-32 with change in designation of director.
