27 June 2013 IN FORM 20B THERE IS VERIFICATION ASKING FOR SERIAL NUMBER AND DATE OF BOARD RESOLUTION
PLEASE HELP ME BY TELLING WHAT IS THIS AND HOW IS TO BE FILLED

27 June 2013 There you need to Enter the serial number and date of board resolution authorizing the signatory to sign and submit the e-Form.

27 June 2013 In that column, you will mentioned the number of resolution, which has authorised i.e. Director, Manager, Company Secretary, etc to sign digitally the concerned forms which will be filed with MCA.

28 June 2013 please sir can tell me how to decide the number of the resolution

28 June 2013 1)ask company to provide board resolution and its serial number...they should keep record of all resolutions passed.just refer those files..

2)in your case it seems your company is not maintaining any such records and just preparing resolutions as and when record..

3)so put some 2 or 3 and date is however available so that you can upload your form

4)your form will be approved if you can go as in point 3 , however you will get true number only by asking to client or referring board resolution file..

28 June 2013 Generally the company pass a resolution for filing and digitally signing forms which are going to be filed with ROC.

So, check the minutes and check at which resolution number such resolution is passed and if it is not passed then insert such resolution and mentioned the same resolution and authorised person designation and detail for filing of digital form.

annual e-forms which are to be filed other than 20B,23AC, 23ACA . ITS FILING WILL BE DONE FOR THE FIRST TIME

01 July 2013 20B,23AC,23ACA...only considered as annual e-forms..so it will be enough

15 July 2013 sir, the balance sheet and P/L a/c which are required to be filed in form 23ac and 23aca , in that it is necessary that it should be signed by the director and auditor.Is there any provision for putting SD on it.

There is a concern that the signatures of the Managing Director/Director/Auditor at the end of the Balance Sheet cannot be captured in a converted PDF document whereas this would be available in the scanned attachments. It is therefore suggested to simply use the acronym, “Sd/-“ above the name and designation of the authorized signatory and mention the date on which the physical documents have been signed by these persons to look like:

Date:

Since the e-Forms would be digitally signed and the attachments would be bound by the security of DSC, these attachments would be acceptable in this form. Alternatively, if they use their scanned form of attachments, they should ensure that the document size is within 2.5 MB limits.
