29 September 2013 You may also consider the resolution format I have used in one of my group company:

“RESOLVED THAT consent of the board of directors of the company be and is hereby accorded for having no objection in case Prime Medical Private Limited, a subsidiary company of Bharat Arts Limited uses premises situated at ________________________, registered office address of Bharat Arts Limited, as its registered office address and update the same in the records of Registrar of Companies, NCT of Delhi and Haryana.

FURTHER RESOLVED THAT the above resolutions be communicated to the Prime Medical Private Limited and shall remain in force until the same are cancelled or modified by the Board of Directors by another resolution”.
