21 December 2012 We had incorporated a private limited company on November 2012, and appointed an auditor for the current year. We want know that whether we want to file form 23B for appointment of first auditor or not. Because we cant file the form 23AC without SRN of 23B.

I will suggest you to File Form-23B as a good corporate practice and the SRN of the same should be mentioned in Form-23AC.

21 December 2012 There will be no problem in filing form 23AC with out SRN of 23B on next year. Because MCA has made mandatory to put SRN of 23B to file form 23AC.

22 December 2012 you will appoint s. auditor in first agm before filing form 23AC . so u will not face any problem. and company act say 23B should file for auditor appointed in AGM/GM

Form-23B not only says that it should be filed only if auditor appointed in AGM/GM.

Form-23B is a form of intimation of appointment of auditor, whether you appoint them at AGM/GM/BM.
