If any expenses incurred by holding co abroad and they raised a debit note on india for this.
Is there any prior approval is required from RBI to book those expenses here?

Check the nature of expenses and those expenses should not fall under the category not allowed by RBI. (refer master circular issued by rbi under fema - payments to foreign countries).
Then you have to obtain certificate from CA in 15cB. Upload form IT 15CA.
Then you can make payment through your banker.
