02 May 2013 sir i want to ask that is private company is exempt from filing form 32 to ROC? and what is the procedure to file online..please suggest me?

No, the private company is not exempted from filing of Form-32 with ROC.

There are following procedure for filling of Form-32 with regard to director:

1. Download Form-32 from www.mca.gov.in
2. Fill up the form -32 and attached copy of resignation/appointment/change in position of director, if any
3. Upload Form-32 with www.mca.gov.in
4. Make payment of Challan
5. You must check whether form is approved by ROC
