Can a private co adopt employee stock option plan ? If yes what is the procedure to be followed.

Get valuation of the company to fix the price of the company shares.
Arrange a board meeting and discuss the matter. Also prepare ESOP scheme.
Arrange approval of shareholders through an EGM and get the ESOP scheme approved.
