Can any one, help me with the draft resolution,with respect to the appointment of nominee director by the board on behalf of a company....

RESOLVED THAT " Pursuant to nomination received from govt. vide letter dated ___ Mr.X has been appointed as additional director with effect from ___________ ."
Futher resolved that " Mr. Z is authorised to sign digitally form 32 and will communicate the same to roc".
