23 September 2010 can any one provide me a draft resolution for authorising company secretary to appear in the court on behalf of company

23 September 2010 “RESOLVED THAT Mr. Mohan Gupta, Authorised Signatory of the Company be and is hereby authorised to sign all papers, applications, plaints, petitions, vakalatnama, affidavits and all other documents as may be required to be filed in the Small Cause Courts/District Courts/High Court/Supreme Court or before any other Government authority, Tribunal and/or local authorities in connection with any legal proceedings by or against the company and to represent the Company in all other matters incidental thereto as may be considered necessary and expedient."
