A private company appoints its CFO as director of comapany. Is it mandatory to diclosed his remuneration in Board resolution.? Kindly also mention the relevant section

Provision relating to remuneration are not applicable to a private company.
Hence there is no need to show the remuneration details in the BR appointing him as director.
